Corporate Social Responsibility (CSR) Policy
Objective
Auralyf Direct Selling Pvt. Ltd. (“the Company”) recognizes its responsibility to contribute positively to society and the environment.
This Corporate Social Responsibility (CSR) Policy outlines the framework through which Auralyf conducts sustainable and socially beneficial initiatives in accordance with Section 135 of the Companies Act, 2013 and the Companies (CSR Policy) Rules, 2014.
Vision
To create long-term value for society by promoting social, environmental, and economic development that leads to sustainable growth and community welfare.
Scope
This policy applies to all CSR programs, projects, and activities undertaken by the Company in India, either directly or through approved implementing agencies.
CSR Committee
The Company shall constitute a CSR Committee of the Board as per the provisions of the Companies Act, 2013.
The Committee shall:
Formulate and recommend the CSR Policy to the Board.
Recommend the amount of expenditure to be incurred on CSR activities.
Monitor the implementation of CSR projects and programs.
CSR Focus Areas
Auralyf’s CSR initiatives shall primarily focus on, but not be limited to, the following areas:
Education & Skill Development: Supporting education, literacy, vocational training, and empowerment initiatives, especially for women and youth.
Health & Sanitation: Organizing medical camps, preventive healthcare, and awareness programs in underserved communities.
Environmental Sustainability: Promoting tree plantation, waste reduction, water conservation, and eco-friendly initiatives.
Community Development: Supporting rural development projects, livelihood enhancement, and community welfare.
Humanitarian Relief: Providing support during natural disasters and public health emergencies.
Implementation Mechanism
CSR activities may be undertaken directly by Auralyf or through recognized non-profit organizations, trusts, or Section 8 companies with proven track records.
The Company may collaborate with local authorities, community groups, or government agencies to ensure effective project execution.
All CSR projects will be aligned with Schedule VII of the Companies Act, 2013.
CSR Expenditure
The Company shall allocate at least 2% of its average net profits (calculated as per the Companies Act) from the preceding three financial years towards CSR activities.
Any unspent CSR funds, except those related to ongoing projects, shall be transferred to a Fund specified under Schedule VII within the statutory timeline.
Monitoring and Reporting
The CSR Committee shall periodically review the progress and performance of all CSR projects.
The Company shall maintain transparent records of CSR expenditure and outcomes.
An annual CSR report, in the format prescribed by law, shall form part of the Company’s Board Report.
Exclusions
The following shall not qualify as CSR activities:
Activities undertaken outside India.
Contributions made to political parties.
Projects or programs carried out exclusively for the benefit of company employees or their families.
Activities undertaken in the normal course of business.
Review and Amendments
The CSR Policy shall be reviewed annually by the CSR Committee and approved by the Board.
Any amendments required under applicable laws or as deemed necessary by the Board shall be duly incorporated.
Disclosure
The CSR Policy and details of CSR projects shall be uploaded on the Company’s official website (www.auralyf.net
